Terms of Service

1. About this service

Gadabout DealMaker ("the Service") is a two-sided negotiation and contracting tool operated by Gadabout ("we", "us") for beverage suppliers and sales agents. The Service is currently offered as a beta and is provided as-is.

2. Accounts

You must provide accurate information at signup, including your company legal name, address, signatory name, and title. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. By creating an account you confirm you have authority to negotiate and sign agreements on behalf of the entity you represent.

3. Negotiated deals and electronic signatures

The Service lets counterparties exchange proposals, agree on terms, and electronically sign a resulting contract. Typing your legal name in the signature block constitutes your electronic signature under applicable e-signature laws (e.g. E-SIGN, UETA). Signed contracts are memorialized as immutable version snapshots.

4. Your content

You retain all rights to the deal terms, SKUs, brand information, and other content you submit. You grant us a limited license to store, process, and display that content solely to operate the Service for you and your counterparties.

5. Acceptable use

Do not use the Service to violate law, infringe rights, transmit malware, attempt to gain unauthorized access to accounts or systems, or misrepresent your identity or authority.

6. Beta disclaimer

The Service is in beta. Features may change, and data may occasionally be unavailable. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from or relating to the Service is limited to US $100. We are not liable for indirect, incidental, or consequential damages.

8. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. Signed contracts remain accessible to both parties after termination where required.

9. Changes to these terms

We may update these Terms. Material changes will be announced in the app or via email. Continued use after changes constitutes acceptance.
